Job purpose:

Responsible for OESA board and Audit & Risk Committee corporate work, responsible for all Downstream legal matters in East Africa, Responsible for all legal matters of TWA and bunkering trading desks and Las Palmas office.

Main responsibilities:

Preparing OESA board and Audit & Risk Committee meetings and taking the minutes, drafting necessary resolutions

Advise and manage in areas of responsibility: M&A and business development projects including coordination and conduct of legal due diligences, drafting/reviewing of contractual and corporate documentation, participation in deal negotiations and integration when required.

Advise and manage TWA and bunkering trading desks and Las Palmas office’s legal affairs in relation to business development, trading and operational matters including agreements and corporate matters.

Advise and manage in areas of responsibility drafting/reviewing of all types of agreements including procurement and financings of the region.

Advise and manage legal matters for finance departments (including all trade finance and financing matters).

Advise and manage in areas of responsibility contentious and pre-contentious files, including claims, litigations, arbitrations and mediations, and related reporting.

Provide Legal support on AESA, OESA and affiliates corporate matters (corporate documents, secretarial services, powers of attorney, etc.) in areas of responsibility.

Follow up main legislative changes potentially affecting activities of AESA, OESA and affiliates including GDPR and IP compliance matters in areas of responsibility.

Participate in department’s the vision, set-up, administrative tasks, and organization and assist as back up for other colleagues, as requested by the department from time to time.

Other responsibilities:

Assist on other legal matters as needed.

Experience & education required:

Master’s degree of Law.

Fluency in both oral and written French and English including competency to negotiate and draft agreements, correspondence, etc. in both languages with utilisation of specialised legal terminology (M&A, projects, corporate, finance, etc.) as needed.

Experienced in handling legal matters in areas of responsibility both civil and common law jurisdictions.

Experienced in addressing M&A and business development matters under English, French and OHADA law and African jurisdictions.

Experience in legal compliance matter including GDPR.

Legal knowledge in downstream, trading, financing, and M&A matters, etc.

Minimum of 8 years’ experience as an in-house counsel with a company in the natural resources sector, ideally active in Africa.
